Eric C. Evans Elected Chairman of D&M Holdings Inc.

TOKYO-July 11, 2006 - Eric C. Evans, co-chief executive officer and representative executive officer of D&M Holdings Inc. (TSE II: 6735), has been elected chairman of the board of directors.

D&M Holdings owns the Denon, Marantz, McIntosh Laboratory, Boston Acoustics®, Snell Acoustics, D&M Professional, Denon DJ, ReplayTV® and Escient® brands.

Mr. Evans, 53, replaces Merle Gilmore, who served as chairman of the board since D&M Holdings was formed in 2002. Mr. Gilmore, an industrial partner of Ripplewood Holdings, has retired as director and board chairman at D&M Holdings. Mr. Evans assumed the chairman's role during the company's annual general meeting, which was held in Japan on June 29.

Mr. Evans was named co-chief executive officer of D&M Holdings in April. He previously served as president and chief operating officer of Diebold, Inc., a $2.6-billion global technology product and services company. Prior to Diebold, Mr. Evans was a group vice president at Emerson.

"As chairman of the board of directors at D&M Holdings for four years, Merle Gilmore guided the company through many important changes, including the integration of Denon and Marantz and five additional acquisitions" said Eric Evans. Since joining D&M Holdings in April, Mr. Evans has shared the CEO responsibility with Tatsuo Kabumoto, who has been CEO for four years and has announced plans to retire. Mr. Evans eventually will succeed Mr. Kabumoto, who will at that time become an advisor to the CEO/Chairman and remain on the D&M Holdings board of directors.

Mr. Evans is a JD/MBA graduate of the Harvard Business and Law Schools and has an undergraduate degree in East Asian studies from Harvard College.
